1. Acceptance of Terms

TMSOFT does not warrant or represent that: (a) the Services will meet your requirements; (b) the Services will be uninterrupted, timely, secure, or error-free; (c) the results obtained from use of the Services will be accurate, complete, reliable, or current; or (d) any errors in the Services will be corrected.


5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TMSOFT, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR INABILITY TO USE THE SERVICES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF TMSOFT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In jurisdictions that do not permit the exclusion or limitation of liability for incidental or consequential damages, TMSOFT’s liability shall be limited to the maximum extent permitted by law.

Nothing in these Terms shall limit or exclude liability that cannot be limited or excluded under applicable law.

11. Governing Law and Dispute Resolution

These Terms and any dispute or claim arising out of or relating to them, or the breach thereof, shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions, consistent with our Privacy Policy.

Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in the State of Florida, and you consent to personal jurisdiction in such courts.
